Membership on a company's board does not equate to ownership of the company's assets, least of all for use in a separate competing enterprise you own. It's no different than how a board member can't take a building owned by the company, sell it on the open market, and then deposit all that money directly into their personal bank account. What's more, Elon hasn't actually been on the board of OpenAI since 2018.
